HumanCharger Balance: Why does Valkee Ltd still exist?

Last month the Finnish Patent and Register Office (prh.fi) threatened to shut down Valkee Ltd, the manufacturer of the infamous HumanCharger device, should the company not provide their 2/2020 balance.

The long-overdue document was hastily produced in early February 2021, with strong-worded remarks by the accountant and auditor, who were called in too late. Here it is.

As expected, sales were down again (turnover €568.000)and loss was growing (to 776.000). The company is still existing despite awful bank debts, which it will never be able to repay (long-term 730.000 and short-term 840.000).

The most concerning point, however, is that the balance sum has shrunk to only €193.000, while Valkee has a registered floating charge of 300.000. Taking into account also the loss of all share capital already back in 2017, and the bitter failure of their Indiegogo campaign which should have rescued the business, it’s simply reckless to keep this thing going.

I’d speculated before, that it’s Valkee’s chairman Timo Ahopelto, who doesn’t want to admit defeat and keeps the company up with little sums. He has toured podcasts and conferences preaching the long-busted “benefits” of the HumanCharger, and had to let go other important investments very recently (Enevo Oy went into bankruptcy in July 2020).

In other jurisdictions, for instance in Germany, a company that has never and will never generate a profit must be shut down already for taxation laws. “Hobby” business is not allowed under a public registration. In Finland, even a firm that has no share capital and is permanently soaking in funds, may exist for an indefinite time. The problem with Valkee is, that it keeps scamming people as long as it is active – as seen on IGG.

 

Valkee’s leaders still claim, that everything will gonna be ok. The CEO Aki Backman has been compared to Iraq’s previous information minister “Comical Ali” for that.

The company’s last full fiscal year ends on Sunday, 28th Feb 2021.

HumanCharger-Valkee’s balance 2019: Guess what?

Finnish Valkee Ltd, maker of the questionable HumanCharger earlight device, has just filed its 2018-2019 balance. It’s the same as every year: Overwhelming loss and now again a sharp drop in revenue.

And as every year, earlightswindle.com makes it available.

Turnover has fallen by 34%, thus eliminating last years somewhat surprising rise. It’s now 637.000€, i.e. even less than in 2016/17. The effect of the US launch seems to level out. Good news for them: Loss is down to 594.000 Euro. But this means, that still every Euro turnover results in one Euro loss – as last year.

HR costs are down from 411.000 to 268.000€, and with (only) 226.000€ paid out, the question is who’s still employed by this company – besides its CEO and some salespersons.

Valkee is struggling to survive, as it did since 2007 – and now it became clear, how the project is “scaling”. It will exist as long as its investors are willing to pay. The plug may be pulled sooner or later.

That’s an enduring embarassment also for Interbrand, which really messed up by calling HumanCharger a “breakthrough brand” in 2017. The only thing that will break here will be the investors’ patience.

HumanCharger’s “global breakthrough” fake

Last autumn I came across a deceptive piece praising Valkee and its HumanCharger at goodnewsfinland.com (part of Finpro, a state-run agency). I complained to the editors about the fake news they spread, prompting them to delete most of the misinformation from the text. It took several weeks, and there is no mention of the changes in the article.

The diff is documented here, as a perfect example of how Valkee deceives others, which in turn deceive people about the HumanCharger.

The Interbrand report of 2017’s “breakthrough brands” was a marketing stunt for the HumanCharger. In the small print, the report admits that companies could submit themselves and their stories were not challenged (p. 61 in the PDF). An embarrassing glitch for Interbrand: They faithfully listed what Valkee said, although the company should not be even in there. The limit for inclusion was 10 years in business and the HumanCharger company was already older than 10 years – it was founded in February 2007, and the product is even older.

Then it gets absurd: Interbrand has never “valued HumanCharger’s brand at 64,67 million”. Impossible – it’s a known scam, and as such, a toxic brand in Finland and most of Europe. The 65 million was, back in 2013, the valuation, i.e. investors paid ~10 million for a 16% stake, which put the whole company in theory at 65 million.

This is fairly outdated. Valkee lost its share capital and is now worth Zero.

That the earlight does not work by “stimulating the brain” is clear, at least to everybody who had ever to do with neuroscience. Silently deleted.

The name of the notified body or its claimed image doesn’t tell anything about the earlight. It just looks better, when it’s in Germany. Changed.

Valkee’s CEO Aki Backman then claimed that the FDA somehow testified that HumanCharger is harmless. That’s a breathtaking misrepresentation. In reality, they could not provide evidence for the device’s health claims. Therefore it got no approval as a medical device, but fell in the underclass “General wellness” category. As such, the device cannot give any kind of (light) therapy despite misleading advertisements. Deleted.

 

“Breakthrough brand” is a struggling micro-business

The aging scam company meets the tight finnish criteria for a micro-business and is therefore exempt from certain standards in financial reporting. The firm uses this in its balances and managed to survive to this day – being technically bancrupt – as detailed in its 2/2017 balance. A mysterious person has recently pumped millions of private funds into Valkee, to keep it alive.

Valkee Ltd collapses as predicted: All share capital lost

The finnish trade register has just announced, that the HumanCharger manufacturer Valkee Ltd has lost all of its share capital. That means, that all of the company’s ressources are depleted, and new capital is not in sight – not even theoretically.

In other countries, the firm would have to file for immediate insolvency or bankruptcy, which is regulated in the same chapter of finnish corporate law.  In Finland, however, business could go on for a while – under extreme conditions, as purchases must all be paid in advance, and credits are stroke off. All business partners are now informed officially, that Valkee cannot fulfil upcoming liabilities.

Because of the consequences, such a notification is usually done in the least possible moment. It may be driven by the fact, that management and owners can be held liable personally from now on, if they don’t declare the final state publicly.

If anyone has claims against Valkee Ltd, now is the time to demand.

Personally I think, that the company will exist on paper for a few months, until its chairman Timo Ahopelto resigns from the board of TEKES, Finland’s tax-financed innovation funding agency. TEKES has shot in more than 100.000€ last year into Valkee, despite the obviously desperate state of the company, which was strictly documented in the 2016 balance.

Wie die finnische Registerbehörde PRH gestern mitteilte, hat der Ohrleuchtenhersteller Valkee Oy aus Oulu am vergangenen Donnerstag den Verlust des gesamten Stammkapitals gemeldet.

Während nach deutschem Recht die Gesellschafter zum sofortigen Insolvenzantrag verpflichtet wären, kann die Firma in Finnland unter Umständen fortgesetzt werden. Wegen der Auswirkungen auf die Geschäftstätigkeit (Einkäufe nur noch gegen Vorkasse, Kündigung von Kreditlinien, usw.) ist aber eine Insolvenz mit Gläubigerschutz und Sanierungsversuch oder ein direkter Konkurs wahrscheinlicher. [s. Abschnitt 20, §§23-25 des finnischen Kapitalgesellschaftsgesetzes: Stammkapitalverlust, Insolvenz und Konkurs]

Die Meldung über den Stammkapitalsverlust erfolgt in der Regel zum allerletzten rechtlich möglichen Zeitpunkt. Unterbleibt die Anzeige, oder erfolgt sie zu spät, können Geschäftsführung und Gesellschafter im Falle des Konkurses in Anspruch genommen werden. Hiermit zeigen demnach die Verantwortlichen bei Valkee an, dass sämtliche finanziellen Möglichkeiten ausgeschöpft sind, und sie nicht persönlich haften wollen.

Da das Schicksal von Valkee in Finnland wegen der Verwicklung der Regierung politische Bedeutung hat, könnte die Skandalfirma auf dem Papier noch fortbestehen – etwa bis zum Sommer 2017, wenn der Firmenchef Timo Ahopelto vom Leitungsgremium der Innovationsförderungsbehörde TEKES zurücktritt. TEKES hat im letzten Jahr noch über 100.000 € in Valkee nachgeschossen, obwohl die Geschäftsführung öffentlich zugegeben hat, dass die Ohrleuchtengeräte in Finnland unverkäuflich sind und der sinkende Auslandsumsatz maximal 1/4 der Kosten deckt.

Wenn Sie noch Ansprüche an die Firma Valkee haben, dann ist jetzt der Zeitpunkt, sie anzumelden. Das Zeitfenster kann sich bald schließen.

As reported earlier on earlightswindle.com, the U.S. Food and Drug Administration has refused the import of Valkee’s HumanCharger earlight headset into the States, when it was misbranded as a therapy device. But now Valkee Ltd actually did a rererere-launch of their hokuspokus in Canada and the US. How is this possible?

It can not make any effectiveness claims, it gets no FDA approval – but it works “for winter blues”? That’s a synonym.

The USA is a known minefield for health fraud businesses like Valkee’s, because of class action suits. Power Balance, the magnetic wrist band sellers, had to return most of their shady businesses’ profits, because they made false health claims.

Valkee really doesn’t know better than to fool around with U.S. legislation. On the other hand, there is nothing to regain from Valkee, as the Company has no assets. They didn’t make even profits.

Congratulations to Merieux Developpement, TEKES and SITRA for making these shameful maneuvres possible. This is what sustainable businesses look like (in Finland)!

Valkee Ltd to go belly-up: The 2016 balance

Traditionally, earlightswindle.com makes Valkee’s balance sheets publicly available. Here is it for the fiscal year 3/2015 – 2/2016:

Revenue is down to 426.000 Euro from 645.000, again -35%. That’s directly continuing the long-time downward trend (2014: -44%, 2015: -40%).

Loss is also down, to “only” 1,646 million. Now the equity ratio (omavaraisuusaste) fell sharply, own capital is now negative (-1,049 million). In other words, there’s nothing left than debt. Banks and investors will not recover what they gave.

Last year, there was still some money left from the 7,3M investment. That’s completely burned now, and an additional million evaporated. As last year, Valkee got an audit warning. Now plus a clear prognosis, that the company will run out of capital during the next 12 months – cease to exist – if no new cash is found from some easy-to-fool investor. Or the americans buy millions of HumanChargers.

Valkee’s CEO Aki Backman made absurd comments. Interestingly, he admitted that the earlight does “practically” not sell anymore in Finland. An open secret, now confirmed.

How to handle an unwanted blogger – the Valkee solution

Imagine the following: You have a company selling some unproven wonder treatment to naïve customers. You get maximum-level political support – even from the President of the Republic and the PM. You’re getting multi-million public and private funding enabling you to produce “research” to bolster your marketing.

But the target population still doesn’t believe you. An ugly makeshift website with an unfriendly blog draws as much attention as your glossy campaign. Although it is maintained anonymously, it has higher credibility. The facts presented there are a threat to your business, you want to get rid of that. What shall you do?

Here is, what Valkee Ltd did.

 

1. Send a threatening letter

Send the messages preferably in the morning (before 7:30 a.m.) or at night (after 8:00 p.m.). You may achieve a good shock-and-awe effect when the target is with the family, not expecting anything bad.

The outcome may be disappointing (detailed description of the case here), because the website/blog does nothing illegal. The presented facts are correct, as you know.

in which you decry the activities of that blog as a vital threat to your business. Urge the police to do anything soon. At least, it will keep the blogger busy and under pressure.

This may be outsourced to some of your pals. Their growing concerns about the failing investment could make them try a whole bunch of unconventional measures. You must convince them, that all negative publicity is caused by that blogger and his friends, not by your foul claims.

Be aware, that the HR department may be used already to 3C-requests (criminals, crooks, and crackpots) due to the nature of that institution. Your questions may be redirected instead and cause further damage.

Valkee Ltd, Elisa Oyj and TEKES: Good Old Boys at Work

Valkee Ltd’s previous CEO Pekka Somerto has a new job, he tells at LinkedIn: Business Development Director at Elisa Oyj, a major finnish operator traded at the Helsinki stock exchange.

I won’t again talk about what I call his competitive relation with the truth, which he has publicly demonstrated at several occasions. I am just wondering how they took into account his performance as CEO of Valkee Ltd. Here the figure for his tenure, quite exactly that specific interval.

Nothing against the new job. He is qualified. But at Elisa’s board of directors is Petteri Koponen. In the specific sub-commitee he is responsible for recruitment to the leading posts in the Corporation.

Koponen is founding partner of LifeLine Ventures, together with Timo Ahopelto, Valkee’s chairman. LifeLine is the lead investor in Valkee.

Ahopelto again is at the board of the tax-funded TEKES agency. And the biggest single Investment of TEKES goes into … LifeLine Ventures. As well as most of it investments. TEKES again has poured millions into Valkee.

Personal note: To my knowledge, Valkee’s leaders have told investors and others, that I am a malicious person with an agenda to bring down Valkee. I may advise Elisa Oyj to look rather at the company turned down by a blogger, not at the blogger who turned the company down.
